Terms of Use

These Terms govern your access to and use of the eDeafy learning platform and all related services.

1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of the eDeafy website, web application, mobile application, course platform, learning tools, dashboards, content, certificates, community features, support channels, and any related services made available by eDeafy (collectively, the "Platform").

By creating an account, browsing the Platform, enrolling in a course, uploading course content, requesting assisted setup, using any dashboard, or otherwise using the Platform, you agree to be bound by these Terms and any policies incorporated by reference.

If you do not agree to these Terms, you must not access or use the Platform.

2. About eDeafy

eDeafy is an early-stage accessibility-first learning platform and project currently operated from Nigeria. References to "eDeafy", "we", "us", or "our" mean the operators of the eDeafy Learning Platform, until a formal incorporated entity is confirmed and reflected in an updated version of these Terms.

eDeafy is currently Nigeria-first in its operations, with a global vision to serve learners, Trainers, Organisations, partners, and supporters in other jurisdictions as the Platform grows. Access to the Platform from outside Nigeria is subject to applicable local laws, platform availability, content availability, payment availability, and eDeafy operating policies. Nothing in these Terms should be read as a representation that eDeafy is incorporated, licensed, or fully operational in every jurisdiction.

3. Definitions

  • "Account" means a registered user profile on the Platform.
  • "Admin" means an authorised eDeafy administrator or reviewer.
  • "Assisted Setup" means course structuring, accessibility preparation, upload support, sign language interpretation coordination, or related services provided by eDeafy on behalf of a Trainer or Organisation.
  • "Certificate" means a digital certificate issued through the Platform after a Learner satisfies the applicable course completion and assessment requirements.
  • "Content" means videos, sign-language-supported lessons, course materials, downloadable documents, images, quizzes, assessments, comments, discussions, certificates, and other materials uploaded, submitted, published, or made available through the Platform.
  • "Course" means a structured learning product hosted on eDeafy.
  • "Learner" means an individual who registers for, browses, enrolls in, accesses, or completes courses on the Platform.
  • "Organisation" means a company, non-profit, school, institution, government agency, CSR sponsor, brand, or other entity that hosts, sponsors, creates, funds, or manages courses on the Platform.
  • "Trainer" means an approved individual or organisation that creates, provides, hosts, teaches, sponsors, or manages course content on eDeafy.
  • "User" means any person or entity that accesses or uses the Platform, including Learners, Trainers, Organisations, Interpreters, Admins, and visitors.
  • "We", "us", "our", and "eDeafy" refer to the operator of the eDeafy Learning Platform.

4. Eligibility and Account Registration

You must be at least 13 years old to use the Platform. If you are under the age of majority in your jurisdiction, you may use the Platform only with the consent and supervision of a parent or legal guardian.

Trainers, Organisations, and Interpreters represent that they have legal capacity and authority to create accounts, submit information, enter into agreements, and perform the obligations required under these Terms.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

5. Account Security and Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. If you believe your Account has been compromised, contact support@edeafy.com immediately.

You must not create an account using false information, impersonate another person or entity, share your login credentials, sell or transfer your Account, access another user account without permission, or create multiple accounts to evade restrictions, suspensions, payment obligations, assessment rules, or platform controls.

6. User Roles

6.1 Learners

Learners may browse courses, enroll in eligible courses, access sign-language-supported lessons, download available materials, complete quizzes and assessments, track progress, participate in permitted course discussions, and receive certificates where course requirements are met.

6.2 Trainers and Organisations

Trainers and Organisations may create course profiles, submit courses, manage learner engagement, review learner progress for their own courses, respond to permitted learner questions, and access dashboards made available by eDeafy.

Trainers and Organisations are responsible for the accuracy, legality, accessibility, quality, and appropriateness of the content they submit or ask eDeafy to upload on their behalf.

6.3 Interpreters

If eDeafy offers interpreter registration, interpreter waitlists, or interpreter marketplace features, Interpreters must provide accurate credentials, disclose relevant language abilities, comply with professional standards, and follow any Interpreter Code of Conduct published by eDeafy.

6.4 Administrators

Authorised eDeafy Admins may access platform areas, course submissions, review queues, support records, analytics, and user information as needed for operations, security, quality review, accessibility review, compliance, and support.

7. Course Accessibility and Sign Language Requirement

eDeafy exists to provide sign-language-supported learning. All course videos and core learning content submitted to eDeafy must be sign-language-supported unless eDeafy approves a specific written exception.

A course may meet this requirement where lessons are taught directly in sign language or include clear sign language interpretation that is visible, accurate, and suitable for learners.

Written support should generally be provided through downloadable materials such as notes, worksheets, checklists, guides, templates, glossaries, and summaries.

eDeafy may reject, suspend, unpublish, or require changes to any course that does not meet its accessibility, sign language, visual clarity, learning design, legal, safety, or content standards.

8. Course Submission, Review, Approval, and Publication

Submission of a course does not guarantee approval or publication. All courses submitted by Trainers or Organisations are subject to eDeafy review before publication.

The normal course status flow may include Draft, Submitted for Review, Automated Pre-Check Completed, Human Review Required, Under Review, Changes Requested, Resubmitted, Approved, Published, Rejected, or Archived.

eDeafy may approve, reject, request changes, suspend, unpublish, archive, or remove any course that fails to meet platform standards or creates legal, safety, accessibility, reputational, or user protection concerns.

Trainers and Organisations must complete all required course fields, modules, lessons, quizzes, final assessments, certificate settings, ownership confirmations, and accessibility confirmations before submitting a course for review. eDeafy is not required to review incomplete submissions.

Admin review may include human review of sign language visibility, video quality, course structure, downloadable materials, quizzes, assessments, sensitive content, copyright concerns, and overall learner experience. eDeafy may also use automated tools to identify incomplete fields, missing quiz answers, long videos, missing materials, or other structural issues. Automated checks do not replace human review for sign language quality or final approval.

9. Assisted Course Setup by eDeafy

Where a Trainer or Organisation requests Assisted Setup, eDeafy may provide course structuring, module breakdown, accessibility preparation, sign language interpretation coordination, upload support, content arrangement, quiz setup, assessment setup, or related services.

Assisted Setup may be subject to a separate quotation, payment terms, timeline, deliverables, and service agreement. Unless expressly agreed in writing, Assisted Setup does not transfer ownership of the underlying course content to eDeafy.

If eDeafy uploads content on behalf of a Trainer or Organisation, the course may still appear under that Trainer or Organisation account, and the Trainer or Organisation remains responsible for the accuracy, legality, ownership, permissions, representations, and educational claims of the content supplied.

10. Trainer and Organisation Content Obligations

By submitting or providing Content to eDeafy, Trainers and Organisations represent and warrant that:

  • they own the Content or have all rights, permissions, licences, releases, and consents required to use, upload, publish, adapt, interpret, translate, and distribute the Content through eDeafy;
  • the Content does not infringe intellectual property, privacy, publicity, confidentiality, data protection, consumer protection, child protection, accessibility, or other legal rights of any person;
  • the Content is accurate to the best of their knowledge and does not make misleading claims about outcomes, employment, income, health, professional qualifications, or regulatory recognition;
  • all quiz answers, assessment answers, learning objectives, course descriptions, prices, and course requirements are accurate;
  • the Content is suitable for the stated audience, including any minors where the course is open to minors;
  • the Content complies with eDeafy course quality, accessibility, and platform policies.

11. Prohibited Content

Users must not upload, submit, publish, sell, share, or promote Content that:

  • is unlawful, fraudulent, misleading, defamatory, obscene, abusive, harassing, hateful, discriminatory, exploitative, or unsafe;
  • targets or exploits minors or vulnerable users;
  • contains malware, spyware, harmful code, phishing links, or deceptive downloads;
  • infringes intellectual property, privacy, publicity, confidentiality, or contractual rights;
  • promotes violence, self-harm, sexual exploitation, illegal activity, scams, or harmful conduct;
  • presents medical, legal, financial, or professional advice as personalised advice where it is only general educational content;
  • contains false certificates, fake credentials, fabricated endorsements, or misleading professional claims;
  • bypasses eDeafy payment, enrolment, review, or certificate systems.

12. Intellectual Property

12.1 eDeafy Intellectual Property

The Platform, eDeafy name, logos, branding, interface, design, software, workflows, certificate templates, dashboards, platform content, and proprietary features are owned by eDeafy or its licensors and are protected by applicable intellectual property laws.

12.2 Trainer and Organisation Content

Trainers and Organisations retain ownership of the Content they upload or supply, subject to the licence granted to eDeafy below.

By uploading, submitting, or supplying Content to eDeafy, you grant eDeafy a non-exclusive, worldwide, royalty-free, sublicensable, transferable licence to host, store, reproduce, adapt for platform formatting, display, perform, stream, distribute, make available, translate, interpret, and use the Content as necessary to operate, promote, review, improve, secure, and provide the Platform and related services.

This licence continues for as long as the Content is hosted, required for course records, required for learner access, required for certificate verification, or retained for legal, compliance, dispute, audit, or backup purposes.

12.3 Learner Use of Course Content

Learners receive a limited, personal, non-transferable, non-exclusive right to access course Content for learning purposes only. Learners must not copy, download beyond permitted materials, record, redistribute, resell, share login access, publicly display, or create derivative works from course Content unless expressly allowed by the course provider and eDeafy.

13. Payments, Fees, Refunds, and Taxes

eDeafy may support free courses, paid courses, sponsored courses, cohort-based programmes, certificate-related fees, subscription plans, setup services, and other monetisation models.

Payments may be processed through third-party payment processors such as Paystack, Stripe, Flutterwave, or other providers. By making a payment, you may also be subject to the processor terms, privacy notices, and transaction rules.

Course prices, subscription fees, setup fees, certificate fees, revenue share, payout timelines, transaction charges, refunds, chargebacks, and taxes may be governed by platform policies, checkout disclosures, written agreements, or organisation-specific terms approved by eDeafy.

Unless otherwise stated at checkout or in a separate agreement, all fees are exclusive of applicable taxes, levies, duties, processing fees, bank charges, foreign exchange charges, and government charges.

Refunds are handled according to eDeafy refund rules and any approved course-specific refund terms disclosed before purchase. eDeafy may refuse refunds for completed courses, issued certificates, consumed services, abusive activity, or requests made outside applicable refund windows, except where applicable law requires otherwise.

Failed payments, chargebacks, fraud alerts, or suspected payment abuse may result in temporary or permanent restriction of access to affected courses, certificates, accounts, or payout functions.

14. Certificates

Every course on eDeafy may be configured to issue a certificate after the Learner satisfies the applicable course completion and assessment requirements. Unless otherwise stated, certificates are issued by eDeafy and may identify the Trainer or Organisation as the course provider.

A certificate may include the Learner name, course title, Trainer or Organisation name, completion date, certificate ID, verification link, and eDeafy branding. A signatory name is not required unless eDeafy later adopts a formal certificate signing policy.

Certificates are not academic degrees, professional licences, regulatory approvals, employment guarantees, immigration credentials, or guarantees of acceptance by any employer, school, institution, government body, or professional regulator.

eDeafy may revoke, correct, reissue, or invalidate a certificate where it was issued by error, fraud, cheating, system abuse, impersonation, payment reversal, policy violation, or course invalidation.

15. Assessments, Quizzes, Completion, and Academic Integrity

Courses may include module quizzes, final assessments, progress tracking, and certificate eligibility rules. Learners must complete the required lessons and assessments honestly.

Unless a course states otherwise, eDeafy may require a minimum score of 70 percent in the final assessment before a course is marked complete and a certificate is issued. Module quiz rules may allow learners to continue after failed attempts while still recording scores for learning records.

Learners must not cheat, impersonate another user, share answers in prohibited ways, manipulate progress tracking, use bots, exploit bugs, or attempt to obtain certificates without completing the required learning process.

16. Community, Comments, Cohorts, and User Interactions

eDeafy may provide course comments, discussion areas, cohort chats, announcements, learner questions, trainer responses, or other community features. Users must communicate respectfully and must not post abusive, discriminatory, misleading, unlawful, exploitative, unsafe, or harmful content.

Users must not solicit personal contact information from minors, pressure users to communicate off-platform, share sensitive personal information publicly, harass other users, or use community features for spam, advertising, scams, or unrelated promotions.

eDeafy may monitor, moderate, remove, restrict, or report user content where necessary to protect users, comply with law, enforce these Terms, prevent abuse, or maintain platform standards.

17. Minors and Safeguarding

Users under the age of majority may use eDeafy only with appropriate parent or guardian consent and supervision. eDeafy may restrict certain courses, community features, direct interactions, or discussion tools for minors.

Trainers, Organisations, Interpreters, and adult users must not solicit private contact information from minors, engage in inappropriate communication, arrange off-platform meetings, exploit minors, or provide content unsuitable for the age group accessing the course.

Courses involving health, reproductive health, safety, wellbeing, or sensitive topics must be structured responsibly and may be subject to heightened review, age gating, consent requirements, or additional content notices.

18. Educational, Health, Finance, Career, and Professional Disclaimers

The Platform provides educational content. Unless expressly stated in a separate written agreement, courses are for general learning and information purposes only.

  • Health and reproductive health content does not replace professional medical advice, diagnosis, treatment, counselling, emergency care, or consultation with qualified health practitioners.
  • Finance, business, and entrepreneurship content does not constitute personalised financial, investment, tax, legal, or accounting advice.
  • Career, job readiness, and digital skills content does not guarantee employment, interviews, income, promotion, admission, certification recognition, or business success.
  • Users should seek qualified professional advice where their situation requires professional judgement.

19. Privacy and Data Protection

Your use of the Platform is also governed by the eDeafy Privacy Policy, which explains how personal data is collected, used, shared, protected, and retained. By using the Platform, you acknowledge that eDeafy will process personal data in accordance with the Privacy Policy and applicable data protection laws.

For users in Nigeria, eDeafy will process personal data in accordance with the Nigeria Data Protection Act 2023 and applicable regulations, guidance, and lawful directives issued by the Nigeria Data Protection Commission, to the extent applicable. As eDeafy expands, we aim to align our privacy practices with recognised global data protection principles, including transparency, lawful processing, purpose limitation, data minimisation, security, accountability, and respect for user rights.

20. Multi-Tenant Data Separation and Organisation Access

eDeafy uses role-based access controls and organisation-level data separation to ensure that Organisations can only access data related to their own courses, learners, authorised users, and permitted dashboards.

Organisations may not access a Learner account outside the courses they host, unrelated course activity, payment card details, private platform data, or sensitive personal data beyond what is necessary for course delivery, accessibility support, reporting, and certificate administration.

21. Third-Party Services

The Platform may integrate with third-party services, including payment processors, cloud hosting providers, video hosting services, analytics tools, email providers, authentication providers, and communication tools. eDeafy is not responsible for third-party services except to the extent required by applicable law or written contract.

22. Security and Acceptable Use

Users must not attempt to gain unauthorised access to the Platform, interfere with platform operations, bypass security measures, scrape data, reverse engineer software, use bots without authorisation, introduce malware, or misuse the Platform in any way that may harm eDeafy, Users, systems, data, or third parties.

eDeafy may investigate suspected abuse, restrict accounts, remove content, block access, preserve records, cooperate with lawful requests, or take legal action where necessary.

23. Suspension, Termination, and Removal

eDeafy may suspend, restrict, terminate, or delete Accounts, courses, certificates, content, payouts, or access where it reasonably believes there has been a violation of these Terms, fraud, security risk, payment abuse, legal risk, learner safety concern, intellectual property concern, accessibility failure, or conduct harmful to eDeafy or Users.

Where reasonable and legally permitted, eDeafy may provide notice and an opportunity to correct issues. However, eDeafy may act immediately where urgent action is necessary to protect Users, comply with law, prevent harm, preserve evidence, or protect the Platform.

24. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, eDeafy disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

eDeafy does not warrant that the Platform will be error-free, secure, uninterrupted, compatible with every device, available in every country, or free from all harmful components. eDeafy does not guarantee learning outcomes, employment outcomes, income outcomes, certification recognition, health outcomes, or course provider performance.

25. Limitation of Liability

To the maximum extent permitted by applicable law, eDeafy will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or loss-of-profit damages arising from or related to the Platform, even if eDeafy has been advised of the possibility of such damages.

To the maximum extent permitted by law, eDeafy total aggregate liability for claims arising from or related to the Platform or these Terms will not exceed the greater of: (a) the amount paid by the claimant to eDeafy for the specific service giving rise to the claim during the 12 months before the claim; or (b) NGN equivalent of USD 100. Some jurisdictions do not permit certain limitations, so some limitations may not apply to you.

26. Indemnity

You agree to indemnify and hold harmless eDeafy, its directors, officers, employees, contractors, partners, and agents from claims, damages, liabilities, losses, penalties, costs, and expenses, including reasonable legal fees, arising from your Content, your use of the Platform, your breach of these Terms, your infringement of third-party rights, your violation of law, or your misconduct.

27. Governing Law and Dispute Resolution

Because eDeafy is currently operated from Nigeria, these Terms shall be governed by the laws of the Federal Republic of Nigeria, unless a different governing law is required by mandatory consumer protection law applicable to a specific user.

The parties will first attempt to resolve disputes through good-faith negotiation. If a dispute is not resolved within 30 days, the parties may refer the dispute to mediation or arbitration in Lagos, Nigeria, under a recognised dispute resolution institution or rules agreed by the parties, unless applicable law requires a different forum. Nothing prevents either party from seeking urgent injunctive or protective relief from a competent court.

For consumer users outside Nigeria, mandatory local consumer protection rights may still apply where required by law.

28. Changes to These Terms

eDeafy may update these Terms from time to time. Material changes will be notified by posting the updated Terms on the Platform, updating the effective date, and, where appropriate, providing additional notice through email or in-platform notification. Continued use of the Platform after changes take effect means you accept the updated Terms.

29. Severability, Waiver, Assignment, and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without eDeafy written consent. eDeafy may assign these Terms as part of a merger, acquisition, reorganisation, sale of assets, or business transfer. These Terms, together with the Privacy Policy and other incorporated policies, form the entire agreement between you and eDeafy regarding the Platform.
